These Terms of Service (the “Agreement”) are entered into by and between LiveHuman.ai, LLC (“LiveHuman.ai”, “we”, “us”, or “our”) and the person or entity (“Subscriber”, “you”, or “your”) using or accessing our platform, services, website, software, content, tools, or features (collectively, the “Services”). This Agreement governs all use of the Services, whether paid or unpaid.
By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you may not use the Services.
1. Use of Services
LiveHuman.ai provides AI-powered sales and marketing automation services, including tools for voice, SMS, and email workflows, outbound engagement, and AI assistant deployment. These tools are intended for lawful and responsible use only.You are solely responsible for your use of the Services and any data, messages, scripts, or content that you upload, publish, or send through the Services. All use must comply with applicable local, state, and federal laws, including telemarketing and consumer protection regulations.We reserve the right to refuse or discontinue Services to anyone for any reason, including violation of this Agreement.
2. Subscriber Responsibilities2.1. Compliance with Laws
Subscriber agrees to comply with all applicable federal, state, and local laws, including but not limited to:The - Telephone Consumer Protection Act (TCPA)
- The Telemarketing Sales Rule (TSR)
- Do-Not-Call (DNC) regulations
- State-specific telemarketing registration requirements
Subscriber is solely responsible for ensuring that all outbound calls, texts, emails, and related communications made using the Services comply with applicable law. LiveHuman.ai provides tools, not legal advice.
2.2. Consent Requirements
Subscriber must obtain proper, legally valid consent from recipients before initiating communications where required by law. Subscriber must:
- Maintain accurate records of consent or applicable legal exemptions.
- Provide certified copies of such records upon request by LiveHuman.ai.
- Refrain from using the Services for unauthorized or unlawful communications.
2.3. Caller ID and Disclosures
Subscriber agrees to use truthful and accurate caller identification and to provide all legally required disclosures within communications.
3. Subscriber Data and Usage
3.1. Subscriber Data License
Subscriber grants LiveHuman.ai a non-exclusive, royalty-free, worldwide license to use, copy, display, and process Subscriber-provided data (“Subscriber Data”) solely to provide and improve the Services. This includes data uploaded directly and indirectly shared through integrations.
3.2. Usage Data
LiveHuman.ai may collect usage, technical, and statistical data from Subscriber’s use of the platform. This data is the property of LiveHuman.ai and may be used for business operations, analytics, or performance improvements.
4. Confidentiality Each party may share certain confidential and proprietary information ("Confidential Information") in connection with the Services. The Receiving Party agrees to:
- Keep the Disclosing Party’s Confidential Information secure
- Only use Confidential Information for purposes under this Agreement
- Not disclose it to any third party except on a need-to-know basis under similar confidentiality obligations
These obligations survive the termination of this Agreement.
5. Intellectual PropertyAll intellectual property, trademarks, software, algorithms, and proprietary content provided by LiveHuman.ai are and remain the sole property of LiveHuman.ai. Subscriber may not copy, distribute, reverse engineer, or otherwise misuse any portion of the Services.Subscriber is granted a non-exclusive, non-transferable, revocable license to access and use the Services for its internal business purposes only.
6. Subscription and Payment
All plans are month-to-month unless otherwise stated in a signed agreement. Subscriber agrees to pay applicable setup fees and recurring monthly charges.
- Payment is due in advance of each service period.
- Failure to pay on time may result in suspension or termination of access.
- No refunds are provided for services rendered.
We reserve the right to change pricing with prior written notice.
7. Cancellation and Termination
Subscriber may cancel Services at any time with written notice at least 5 business days before the next billing date.
LiveHuman.ai may suspend or terminate your account immediately in the event of:
- Non-payment
- Violation of these terms
- Use of the Services for illegal, abusive, or misleading purposes
Upon termination, Subscriber must cease use and delete any proprietary content or access credentials.8.
Disclaimers
LiveHuman.ai provides the Services “as is” without warranty of any kind. We do not guarantee uninterrupted or error-free performance, nor do we warrant results from use of the Services.LiveHuman.ai disclaims any liability for damages or losses related to your use of the Services.
9. Limitation of LiabilityTo the maximum extent permitted by law, LiveHuman.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to use of the Services, including loss of profits, data, or business opportunities.In no event shall LiveHuman.ai’s total liability exceed the amount paid by Subscriber in the preceding three (3) months.
10. IndemnificationSubscriber agrees to indemnify and hold harmless LiveHuman.ai, its affiliates, officers, employees, and agents from any claims, liabilities, damages, or costs arising from:
- Subscriber’s use or misuse of the Services
- Violation of any law or regulation
- Breach of these Terms
- Subscriber’s failure to obtain required consent
11. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of laws. Any disputes arising out of or relating to this Agreement shall be resolved in the courts located in Philadelphia, PA.
